Terms and Conditions for BuyMicroStartups
Welcome to BuyMicroStartups!
These Terms of Service ("Terms") form a binding agreement between you ("User", "Buyer", "Seller", or "you") and Marc-Etienne Dartus, an individual sole trader (auto-entrepreneur) operating from Levallois-Perret, France ("BuyMicroStartups", "we", "us"), governing your access to and use of https://buymicrostartups.com/ (the "Website") and the related services (the "Service"). By creating an account, listing a startup, or otherwise using the Service, you accept these Terms in full.
1. Description of the Service
BuyMicroStartups is an online marketplace specialized in micro-acquisitions: it helps Sellers list micro-startups — pre-revenue or revenue-generating online businesses, typically priced under $25,000, though we do not impose a fixed price ceiling — and helps Buyers discover them. We are a listing and discovery platform only. We are not a party to, broker of, escrow agent for, or guarantor of any transaction between a Buyer and a Seller. We do not take a commission on the sale price of any startup, and we never hold, transmit, or have custody of the funds or assets exchanged between Buyer and Seller.
2. Eligibility and Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You may sign up with an email/password or via Google sign-in; you are responsible for the accuracy of your account details and for all activity under your account, including keeping your credentials secure. We may suspend or terminate accounts that provide false information or violate these Terms.
3. Listing a Startup
3.1 Listing Tiers and Fees
Sellers list a startup by submitting listing details and paying a one-time, non-recurring listing fee via Stripe, corresponding to one of the following tiers (current pricing shown on our pricing page):
- Basic — marketplace listing, visible to all Buyers, direct Buyer contact.
- Boost — everything in Basic, plus a custom highlight color, newsletter feature, and higher search ranking.
- Premium — everything in Boost, plus top search ranking, 30-day pinned placement, and automated buyer-matching notifications to Buyers whose saved preferences match the listing.
Listing fees cover access to the marketplace and its distribution features only. They are not a fee for successfully selling the startup, and we do not guarantee a sale, a minimum number of views, or Buyer interest.
3.2 Content Review
Every submitted listing goes through an automated review pipeline before publication: an automated content check (including an AI-assisted quality and fraud screen, and a reachability check of any website you provide) and, where the automated review is inconclusive, a review by our team. Depending on the outcome, a listing will be published live, sent back to you with requested changes, held for manual review, or rejected. We may correct or normalize non-substantive listing metadata (e.g. category or tag fields) to keep the marketplace consistent; we will never alter your description, price, or financial figures without your input. You may appeal a rejection; we will review appeals in good faith but are not obligated to reverse a decision.
3.3 Revenue Verification (Optional)
Sellers may optionally connect a Stripe account to obtain a "Revenue Verified" badge. This connection uses Stripe Connect's read-only OAuth scope: we can read aggregate trailing-30-day revenue and normalized monthly recurring revenue from your connected account, and nothing else — we never receive your Stripe credentials, cannot initiate charges, payouts, or refunds on your account, and do not store your raw transaction history. You may disconnect this at any time from Stripe; doing so removes the badge on our next verification pass. The badge reflects data reported by the connected Stripe account at a point in time and is not a warranty by us as to the accuracy, continuity, or future performance of the startup's revenue.
3.4 Accuracy of Listings
You warrant that you own or have the right to sell the startup you list, and that all information in your listing (revenue, profit, traffic, technology, ownership) is accurate and not misleading. Listing a startup you do not own or fabricating figures is a material breach of these Terms and may result in immediate removal and account termination, without refund.
4. Fees and Refunds
Listing fees are charged via Stripe at submission. If your listing is rejected during the review process, the listing fee is automatically and fully refunded to your original payment method. Once a listing has been published (live), the listing fee is non-refundable, regardless of whether the startup sells, because the fee compensates for marketplace access and distribution already delivered. Tier upgrade fees, once the corresponding features have been applied to a listing, are likewise non-refundable.
5. Buyer Conduct and Communications
Buyers may express interest in a listing; we forward that interest, including any message you write, to the Seller's contact email so the parties can communicate directly. We do not moderate, mediate, or store the resulting negotiation. Premium-tier listings may trigger automated match notifications to Buyers whose saved preferences (business type, price range, revenue, technology, etc.) fit the listing.
6. Prohibited Conduct
You agree not to: list a startup you do not own or lack the right to sell; submit false, fraudulent, or materially misleading listing information; use the Service to circumvent listing fees (e.g. relisting rejected content to avoid a fee, or arranging an off-platform sale to avoid our review process for a listing initiated here); scrape, reverse-engineer, or systematically extract data from the Website; harass, defraud, or impersonate another user; or use the Service for any unlawful purpose.
7. No Escrow, No Investment Advice, No Transaction Guarantee
BuyMicroStartups does not provide financial, investment, tax, or legal advice. Any decision to buy or sell a startup is yours alone; you should perform your own due diligence and seek independent professional advice as needed. We are not involved in, and bear no responsibility for, the transfer of funds, code, domains, accounts, IP, or any other asset between Buyer and Seller. Negotiating price, structuring the deal, handling payment, and transferring the business are entirely the responsibility of the Buyer and Seller. We strongly recommend using a reputable third-party escrow service for any transaction and independently verifying any figures shown on a listing, including a "Revenue Verified" badge, before completing a purchase.
8. Intellectual Property
The Website, its design, and its software are our property or licensed to us and may not be copied or reused without permission. By submitting a listing, you grant us a non-exclusive, worldwide license to display, reproduce, and distribute that content on the Website and in related marketing (e.g. our newsletter) for as long as the listing remains active or as reasonably needed thereafter for records.
9. Third-Party Services
The Service relies on third-party providers to operate, including Stripe (payments and revenue verification), Supabase (accounts and data storage), Brevo (email communications), PostHog (product analytics), Crisp (support chat), and an AI/LLM provider used for automated listing review. Your use of these embedded services is also subject to those providers' own terms. See our Privacy Policy for details on data shared with each.
10. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available," without warranties of any kind. To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, or for any loss arising from a transaction between Buyer and Seller, the accuracy of a listing, or the performance of a purchased startup. Our total liability for any claim arising from the Service is limited to the fees you paid us in the 12 months preceding the claim.
11. Termination
We may suspend or remove a listing, or suspend or terminate an account, at any time for a breach of these Terms, fraudulent activity, or a legal or safety concern, with or without notice as circumstances require.
12. Governing Law and Disputes
These Terms are governed by French law. Any dispute that cannot be resolved amicably will be submitted to the competent courts of France. If you are an EU consumer, you may also access the European Commission's Online Dispute Resolution platform.
13. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service or legal requirements. Material changes will be notified by email or a notice on the Website. Continued use after an update constitutes acceptance of the revised Terms.
